PlainWISP Terms of Sale and Use

These terms apply to your purchase and use of PlainWISP (plainwisp.com). You accept them, and confirm you have read the Privacy Notice, by ticking the terms checkbox in Stripe Checkout and completing your purchase. Buying PlainWISP confirms your acceptance of these terms.

One-time payment. Includes 12 months of updates. No subscription, no automatic charges.

1. Seller. Desert Herders Collective LLC, a New Mexico limited liability company, 1209 Mountain Rd Pl NE Ste R, Albuquerque, NM 87110; support@plainwisp.com.

2. Plans and prices. PlainWISP is sold for a single one-time payment per practice. It is not a subscription, and we never charge you automatically. Prices: Solo $149; Firm $299 (up to 10 staff and one physical office); Multi-office $599 (more than one physical office, or more than 10 staff). You choose the plan that fits your practice. Each is a one-time payment that includes 12 months of updates. Prices are in USD and exclude applicable taxes; we collect taxes where required. Stripe processes all payments.

3. One-time payment; no automatic charges. Your purchase is a single payment. There is no subscription, no automatic renewal, and we will not charge your payment method again. If you want template versions released after your update window ends, you can choose to make a new purchase at the price then in effect.

4. Update window. Your "update window" starts on the date your payment succeeds (the "purchase date") and ends 12 months later (the "expiry date"). We record both dates against your license key. Every template version we release on or before your expiry date is included in your purchase. After the expiry date: (a) your license key keeps working, and you can still restore access and use the wizard and generate documents with the last template version released on or before your expiry date; (b) template versions released after your expiry date are not included; and (c) nothing is charged automatically. Your template version stays fixed to that last included version unless you make a new purchase. The update window does not limit your use of documents you have already downloaded.

5. License key and access. After your payment we show you a license key once. Keep it safe: it lets you restore access and download documents again on any device, both during and after your update window. We store only a scrambled (hashed) copy of it. If you lose it, email support@plainwisp.com from the email address you used for your purchase. Support sends a one-time link, valid for a short time, only to the email address Stripe holds for your purchase. We never issue a key because of an email request alone. When a new key is issued, the old key stops working at once. Reissues are limited to 3 per purchase in any 30 days. Documents you have already downloaded remain yours to use.

6. Refunds, disputes and revocation. If your payment is refunded in whole or in part, or if you open a payment dispute (chargeback) with your card issuer, your license key is deactivated and the wizard can no longer be unlocked with it. Documents you have already downloaded are not affected.

7. License. You may use, edit and copy generated documents for your own practice. You may not resell the tool or the templates, or offer them as a service to others, without written permission.

8. Not legal advice; template only. The PlainWISP Disclaimer is part of these terms. You are solely responsible for tailoring the document, for the accuracy of your inputs, and for implementing and maintaining the safeguards it describes.

9. No guarantee. We make no promise that any document satisfies the FTC Safeguards Rule, IRS requirements (including Form W-12 attestations), state law or any audit, examination or investigation.

10. Warranty disclaimer. To the fullest extent permitted by law, the tool and documents are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy and completeness.

11. Limitation of liability. To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill, regulatory fines or penalties, or breach-response costs, arising from or related to the tool or documents. Our total liability for all claims is limited to the amount you paid for PlainWISP in the 12 months before the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Refunds. Ask within 14 days of your purchase date by emailing support@plainwisp.com, and we will refund your payment in full, no questions asked. The refund deactivates your license key (clause 6). After 14 days, payments are non-refundable except where the law requires.

13. Updates. Template versions we release during your update window (clause 4), including changes after IRS or FTC revisions, are included at no extra charge. After your expiry date you keep the last version released within your window; later versions are not included.

14. Privacy. Your wizard answers stay on your device and are never sent to us. Stripe processes your payment and holds your billing details and email; we do not receive your card number. We keep a small purchase record (Stripe payment references, a hashed copy of your license key, your plan, purchase and expiry dates, the template version your key is pinned to, refund or dispute status, and your terms acceptance record). The Privacy Notice explains what we keep and for how long.

15. Governing law and disputes. These terms are governed by the laws of the State of New Mexico, without regard to conflict-of-laws rules. Either party may bring an individual claim in small-claims court where it qualifies. Otherwise, disputes will be heard in the state or federal courts located in Bernalillo County, New Mexico.

16. Changes. Changes to these terms apply to new purchases only. The terms in force on your purchase date continue to govern that purchase, including its update window.
